Welcome to ReelVenue. These Terms of Service ("Terms") govern your access to and use of the ReelVenue website, platform, and services (collectively, the "Service") provided by ReelVenue Inc. ("ReelVenue," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Description of Service
ReelVenue is a multi-sided marketplace connecting independent filmmakers, venue owners, and movie fans. We provide tools for theatrical booking, ticketing, crowdfunding ("ReelDemand"), subscriptions ("ReelPass"), and royalty routing.
2. Intellectual Property Rights (Platform)
All rights, title, and interest in and to the Service—including but not limited to the platform's software, code, algorithms, user interface (UI), user experience (UX), designs, trademarks, logos, and proprietary concepts (such as the ReelDemand crowdfunding mechanics, ReelPass subscription model, and Smart Split routing engine)—are and will remain the exclusive property of ReelVenue Inc. and its licensors.
You may not copy, modify, reverse engineer, decompile, distribute, sell, or lease any part of our Service, nor may you attempt to extract the source code of the software, unless laws prohibit these restrictions or you have our written permission.
3. User Content and Filmmaker IP
ReelVenue claims no ownership rights over the films, promotional materials, or other content ("User Content") uploaded by filmmakers. You retain all intellectual property rights to your User Content.
By uploading User Content to the Service, you grant ReelVenue a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, perform, and distribute your User Content strictly for the purpose of operating, promoting, and improving the ReelVenue marketplace and fulfilling your booking and distribution requests.
4. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Scraping, data mining, or using automated means to extract data from the Service.
- Replicating or building a competitive product using the proprietary workflows, designs, or features found on ReelVenue.
- Uploading content that infringes on the copyright, trademark, or other intellectual property rights of any third party.
- Using the platform to process fraudulent transactions or engage in money laundering.
5. Payments, Fees, and Routing
ReelVenue facilitates payments between fans, venues, and filmmakers. We reserve the right to charge service fees or platform fees for processing these transactions. All payments, tips, and royalty splits are routed via third-party payment processors (e.g., Stripe). ReelVenue is not liable for issues arising from third-party payment gateways.
6. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. ReelVenue makes no representations or warranties of any kind, express or implied, regarding the operation of the Service, the success of any ReelDemand campaign, ticket sales, or the technical capabilities of third-party venues.
7. Limitation of Liability
To the maximum extent permitted by law, ReelVenue Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service.
8. Governing Law
These Terms shall be governed by the laws of the State of California, without respect to its conflict of laws principles.
